Welcome to the “GiGiGrid” software (hereinafter referred to as “the Software”). The Software is developed and operated by Shanghai Shenji Miaocai Technology Co., Ltd. (hereinafter referred to as “we” or “us”), and is designed to help users work more efficiently with Microsoft Excel through artificial intelligence technology.

Please read, understand, and accept this User Agreement (hereinafter referred to as “the Agreement”) carefully before using the Software. By clicking “Agree” or by using the Software in any way, you indicate that you have read, understood, and agreed to be bound by all the terms of this Agreement.

1. Definitions

• The Software: Refers to the “GiGiGrid” software and its related services, including but not limited to AI prompts, AI tasks, automatic formula generation, data cleaning suggestions, spreadsheet analysis, and chart recommendations.
• User: Refers to any individual or organization that installs, registers, logs in to, or otherwise uses the Software.
• Data: Refers to all spreadsheet data, content, and related information uploaded, input, or authorized for access by the User during use of the Software.

2. License of Use

• We grant you a non-exclusive, non-transferable, and limited license to install and use the Software in accordance with the terms of this Agreement.
• You may not reproduce, modify, sell, transfer, lease, or sublicense the Software or any of its functions in any way.

3. User Rights and Obligations

• You have the right to reasonably use the features provided by the Software in compliance with this Agreement.
• You are solely responsible for the content of any data uploaded or processed and must ensure that it does not infringe upon the legal rights of any third party.
• You must not use the Software to engage in any illegal, non-compliant, or harmful activities, including but not limited to:
  • Inputting or generating false, sensitive, or illegal data;
  • Using the Software for malicious crawling, cracking, or reverse engineering;
  • Disrupting the normal operation or service stability of the Software.

4. Privacy and Data Protection

• We are committed to strictly protecting your data privacy and will not use your data for any unauthorized purposes.
• All data uploaded or processed is used solely for providing services to you and will not be used for training AI models for other users unless you explicitly authorize it.
• We will employ industry-standard security measures to ensure the confidentiality and integrity of your data.

5. Disclaimer

• The Software is based on AI models. All suggestions and outputs are for reference only. You should exercise independent judgment and bear the risks of using the results.
• We are not liable for any compatibility issues, data loss, or damage arising from third-party platforms (e.g., Microsoft Excel).
• To the fullest extent permitted by law, we shall not be liable for any direct or indirect losses arising from your use or inability to use the Software.

6. Intellectual Property

• All intellectual property rights related to the Software, including features, UI design, algorithms, and documentation, belong to us or our licensors.
• The data and results generated during your use of the Software belong to you. However, we reserve the right to use anonymized statistical information necessary for model training and optimization (if authorized by you).

7. Changes and Termination of Services

• We reserve the right to update, adjust, or discontinue features, interfaces, or services of the Software based on actual circumstances and will notify you in advance.
• If you violate the terms of this Agreement, we have the right to suspend or terminate your access to the Software and shall not be liable for any resulting losses.

8. Changes to the Agreement

We may amend this Agreement based on applicable laws or operational needs. Changes will be announced on the official website or within the Software. By continuing to use the Software, you agree to be bound by the revised Agreement upon its effective date.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and interpreted in accordance with the laws of the People's Republic of China. Any dispute arising from this Agreement shall be resolved through friendly consultation. If consultation fails, either party may bring a lawsuit to the People’s Court located in the place of company registration.
